TERMS OF SERVICE
1. Agreement to Terms
By accessing or using the website, platforms, and services provided by DEVLPR LLC ("DEVLPR," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, you must discontinue use immediately.
DEVLPR LLC is a limited liability company registered in the State of New Mexico, United States, with its principal office at 1209 Mountain Road Pl NE, ABQ, NM 87110, USA.
2. Services
DEVLPR is an AI-first product development studio serving funded startups from Seed to Series B. Our services include but are not limited to: custom software development, AI product engineering, Web3 and blockchain development, mobile application development, SaaS platform architecture, UI/UX design, and technical consulting.
The specific scope, deliverables, timelines, and compensation for any engagement shall be defined in a separate Statement of Work ("SOW") or master service agreement ("MSA") executed between DEVLPR and the client.
3. Client Obligations
Clients agree to: (a) provide accurate, complete, and timely information and materials necessary for the performance of services; (b) designate a primary point of contact with decision-making authority; (c) review and provide feedback on deliverables within agreed-upon timeframes; and (d) make payments in accordance with the terms outlined in the applicable SOW or MSA.
4. Intellectual Property
Unless otherwise specified in a signed agreement, all intellectual property created by DEVLPR in the course of an engagement shall be assigned to the client upon receipt of full payment for the applicable deliverables. DEVLPR retains the right to use general knowledge, skills, techniques, and reusable code components (not specific to the client's proprietary business logic) developed during the engagement for future projects.
DEVLPR reserves the right to showcase completed work in portfolios, case studies, and marketing materials unless the client requests otherwise in writing.
5. Payment Terms
Payment terms, schedules, and methods shall be defined in the applicable SOW or MSA. Unless otherwise agreed, invoices are due within fourteen (14) days of issuance. Late payments may be subject to a late fee of 1.5% per month on the outstanding balance, or the maximum rate permitted by law, whichever is lower. DEVLPR reserves the right to suspend or terminate services in the event of non-payment exceeding thirty (30) days.
6. Confidentiality
Each party agrees to maintain the confidentiality of any proprietary or confidential information disclosed by the other party during the course of an engagement. This obligation survives the termination of any agreement for a period of two (2) years, unless the information becomes publicly available through no fault of the receiving party, was already known to the receiving party, or is required to be disclosed by law.
7. Warranties and Limitation of Liability
DEVLPR will perform all services in a professional and workmanlike manner consistent with industry standards. Except as expressly stated herein, all services are provided "as is" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
To the maximum extent permitted by applicable law, DEVLPR's total liability arising out of or in connection with any engagement shall not exceed the total fees paid by the client under the applicable SOW or MSA during the twelve (12) months preceding the claim. In no event shall DEVLPR be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
8. Termination
Either party may terminate an engagement with thirty (30) days' written notice unless otherwise specified in the applicable SOW or MSA. Upon termination, the client shall pay for all services rendered and expenses incurred up to the effective date of termination. DEVLPR shall deliver all completed and in-progress deliverables upon receipt of all outstanding payments.
9. Indemnification
The client agrees to indemnify, defend, and hold harmless DEVLPR and its members, officers, employees, and contractors from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) the client's use of the deliverables; (b) the client's breach of these Terms; or (c) any third-party claims related to the client's products or services built using DEVLPR's deliverables.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, without regard to its conflict of laws principles. Any disputes arising out of or related to these Terms shall first be submitted to good-faith mediation. If mediation is unsuccessful, disputes shall be resolved through binding arbitration in Albuquerque, New Mexico, in accordance with the rules of the American Arbitration Association.
